1 General terms and conditions
The general terms and conditions are based on Swiss law and are valid worldwide, provided that the parties accept them explicitly or tacitly. Urfer Webdesign reserves the right to adapt the general terms and conditions to changing circumstances without direct notification to the customer.
The following conditions apply to all services of Urfer Webdesign.
2 Contractual terms
2.1 General
The services and prices agreed in the contract are binding. If the customer wishes to waive services, the money can be refunded for the respective position, provided that Urfer Webdesign has not yet had any expenditure in this position. If the customer wishes further services, which are not specified in the contract, the prices of the contract (optional services) apply and if not defined CHF 110.- per hour. If such services are less than CHF 1000, a verbal agreement is sufficient.
2.2 Duration of contract
Unless otherwise stated, the contract runs until 31 December of the same year and is automatically renewed for one year on 1 January of each year. The contract may be terminated at the end of the contract period. Notice of termination must be given in writing and must be received at least 30 days before expiry of the contract.
2.3 Offers
Offers are non-binding for both parties and are generally valid for 30 days, unless otherwise agreed in writing. The offer can be converted into a contract by the signature of both parties.
3 Terms of payment
Unless otherwise agreed, the client shall pay 50% of the total amount in advance, the remaining 50% when all the services mentioned have been provided. In the case of the creation of websites, the total amount will normally be invoiced after discussing the adjustments and optimisations of the created website.
The invoice amount is to be paid without deduction within the agreed payment period. If no payment deadline is specified, a payment deadline of 30 days shall apply. If the outstanding amount is not paid on time, Urfer Webdesign will charge no reminder fees for the first reminder. If the customer does not pay within the time limit, Urfer Webdesign can charge a reminder fee of 20.- to cover the expenses and loss interest. After four unsuccessful requests for payment, Urfer Webdesign may pass the case on to the competent debt collection office, which may incur further costs. Urfer Webdesign is entitled to suspend the provision of services after the first unsuccessful reminder by letter or e-mail.
4 Services Urfer Webdesign
4.1 Service package for the operation of websites
The service package includes the services mentioned in the contract. The adjustments / changes to the website included in the contract are limited to one hour’s work per adjustment. If this is exceeded, or nothing is defined in the contract, adjustments / changes to the website can be charged by Urfer Webdesign.
4.2 Hosting and domain
If the webhosting is done by Urfer Webdesign, no access to the server administration can be granted.
4.3 E-mail
An e-mail domain is included in website contracts. The letters and characters before the @ can be freely chosen. E-mail forwarding is free of charge, setup on the customer’s PC is charged at an hourly rate, but is normally not necessary. Urfer Webdesign provides the necessary access data for the independent setup. Urfer Webdesign may charge for additional e-mail accounts. Urfer Webdesign is not liable for any mails not received or sent from e-mail accounts or contact forms, and cannot completely stop spam.
5 Rights and obligations of Urfer Webdesign
5.1 Compatibility
Urfer Webdesign continuously adapts its websites to new versions of browsers, plugins and themes (CMS functions). In the case of outdated or non-current technologies of browsers, which have less than 4% market share in Switzerland, the guarantee for a browser-compatible display cannot be accepted.
5.2 Defective services
Urfer Webdesign undertakes to execute the order in accordance with the contract with the greatest possible care and undertakes to rectify any deficiencies free of charge. If rectification is not possible, the purchase price for this item will be partially or completely waived. However, the customer shall not be entitled to any additional compensation.
5.3 Delay in delivery
Urfer Webdesign will make every effort to deliver the services on time. In the event of a delay in delivery, there is no entitlement to compensation.
5.4 Suspension of services
Urfer Webdesign is entitled to terminate the contractual relationship without compensation in the event of outstanding payment or non-compliance with the contractual conditions.
5.5 Self-promotion
The customer agrees that the web pages created by Urfer Webdesign can appear in the portfolio and allows a small, inconspicuous link to the Urfer Webdesign website on the created web pages.
5.6 Copyrights
The copyright of all work done by Urfer Webdesign is owned by Urfer Webdesign and is their intellectual property. They may not be used further without the permission of Urfer Webdesign.
5.7 Data protection
Urfer Webdesign treats all supplied data confidentially. No data will be passed on to third parties, except to partners who are involved in the fulfilment of the order.
5.8 Cessation of business
In so far as Urfer Webdesign ceases business activities, all relevant website data will be supplied to the customer free of charge. This enables the customer to continue operating the website independently.
6 Copyright
The client is obliged to check all material provided by him for copyrights and copyright infringements. Should there be any copyright and copyright infringements, Urfer Webdesign does not assume any liability.
7 Disclaimer
Urfer Webdesign accepts no liability for direct or indirect damage due to technical problems, loss of data, server failure or other reasons and is in no case liable for consequential damage or loss of profit. Urfer Webdesign endeavours to prevent such damages through measures such as backups, website protection functions and the use of tested, reputable plugins. Urfer Webdesign is not liable for damages caused by defects in third-party programmes used and does not assume any costs for the provision of services by third parties.
